Start Your Own Company with Limited Liability and a Separate Legal Identity
Starting a business independently does not mean you must operate as a sole proprietorship. A One Person Company (OPC) allows an eligible individual to establish a registered company with a single shareholder while enjoying the benefits of a separate legal entity and limited liability.
Remind Legal assists entrepreneurs, freelancers, consultants and business owners with One Person Company registration in India, including name availability checks, eligibility assessment, document preparation and incorporation support through the Ministry of Corporate Affairs (MCA) portal.
Whether you are starting a new venture or moving from a proprietorship to a company structure, we help you understand the applicable legal requirements before filing.
Why Consider One Person Company Registration?
A sole proprietorship is relatively simple to establish, but the business and its owner do not have the separate legal identities. This can expose the proprietor's personal assets to business liabilities.
An OPC provides a separate corporate identity, enabling the company to own assets, enter contracts and conduct business in its own name.
For example, an independent IT consultant planning to expand operations may consider an OPC to establish a formal company structure without introducing another shareholder.
However, OPC registration involves statutory filings and ongoing compliance. Limited liability also does not protect against every form of personal liability.

What Is One Person Company Registration?
A One Person Company is a company having only one person as its member, as defined under Section 2(62) of the Companies Act, 2013.
Section 3(1)(c) permits the formation of an OPC as a private company by one person for a lawful purpose.
Unlike a sole proprietorship, an OPC has a separate legal identity from its shareholder. It can enter into contracts, hold property and incur liabilities in its own name.
An OPC must nominate another eligible individual who may become the member if the original member dies or becomes incapable of contracting.
Registration is completed through the MCA incorporation process.
Who Needs One Person Company Registration?
This business structure may be suitable for: -
- Individual entrepreneurs starting a new business.
- Freelancers and independent consultants.
- IT professionals and digital service providers.
- Small business owners seeking a corporate structure.
- Individuals planning to formalise proprietary businesses.
- Entrepreneurs who prefer sole ownership and management control.
An OPC may not be suitable where the multiple shareholders are required immediately or the proposed business falls within restricted activities.
Eligibility and Applicability
Under the Companies (Incorporation) Rules, 2014, as amended, the principal eligibility conditions include: -
- Indian citizenship: Only a natural person who is an Indian citizen, whether resident in India or otherwise, may incorporate an OPC.
- Minimum age: The member and nominee must not be minors.
- Single membership: An individual cannot be a member of more than one OPC at the same time.
- Nominee restriction: An individual cannot simultaneously be nominee of more than one OPC, subject to the applicable rules.
- Nominee consent: The proposed nominee must provide the prescribed consent.
- Lawful business: The proposed activities must comply with the various relevant legal restrictions.
The 2021 amendments removed the earlier general residential eligibility restriction for the Indian citizens incorporating OPCs.
Legal Requirements for OPC Registration
The principal requirements arise under the Companies Act, 2013 and the Companies (Incorporation) Rules, 2014.
- Company name: The proposed name must comply with the various MCA naming rules and include “(OPC) Private Limited” as applicable.
- Nominee appointment: Section 3 requires a nominee's prior written consent. The applicable consent documentation includes Form INC-3.
- Registered office: The company must provide the required address details and various supporting documents.
- Constitutional documents: The Memorandum of Association (MOA) and Articles of Association (AOA) must reflect or indicate the company's permitted activities and the governance arrangements.
- Director requirements: At least one director is required. The sole shareholder may also act as director, subject to the eligibility.
A Digital Signature Certificate (DSC) and Director Identification Number (DIN) are required as applicable.
Documents Required for OPC Registration
Commonly required documents include: -
- PAN and identity proof of the proposed shareholder/director.
- Address proof of the proposed shareholder/director.
- Nominee's identity and address documents.
- Nominee consent in the prescribed form.
- Proof of registered office address.
- Utility bill and ownership or occupancy documents, as applicable.
- Owner's NOC, where required.
- Proposed company name and business activity details.
- MOA and AOA.
- Prescribed declarations and incorporation documents.
Additional documents may be required depending on the applicant's circumstances and MCA filing requirements.
Process for One Person Company Registration
Step 1: Assess Eligibility and Business Requirements
Confirm and verify the proposed shareholder's eligibility, nominee details, business activities and suitability of the OPC structure.
Step 2: Obtain Digital Signature Certificate
Arrange a valid DSC for the proposed signatory, where required for the electronic incorporation filings.
Step 3: Check Company Name Availability
Search the MCA database and examine the proposed name for similarity, restricted expressions and relevant trademark concerns.
Step 4: Prepare Incorporation Documents
Prepare and organise the MOA, AOA, nominee consent, registered office documents and various applicable declarations.
Step 5: File SPICe+ Application
Submit the incorporation application through the SPICe+ Part A and Part B, together with the applicable linked forms, including AGILE-PRO-S and INC-9 where required.
Step 6: ROC Scrutiny and Incorporation
The competent authority examines and verifies the application and may request the corrections or additional information.
Upon the approval, the Certificate of Incorporation is issued with the Corporate Identity Number (CIN). PAN and TAN are processed through the integrated incorporation procedure.
Government Fees for OPC Registration
OPC registration costs depend on the company's authorised capital, applicable filing charges, state stamp duty and other prescribed requirements. The overall expense may include MCA fees, DSC charges, stamp duty and professional assistance fees.
Certain incorporation fee concessions may apply under the relevant MCA fee framework.
There is no such universal fixed registration cost for every OPC. Applicants should confirm the applicable charges before submission.
Timeline for OPC Registration
The incorporation timeline basically depends on name availability, document accuracy, MCA scrutiny and any resubmission requirements.
Applications involving incorrect documents, unsuitable names or incomplete nominee details may require additional processing.
There is no guaranteed approval timeline. Applicants should account for the potential corrections when planning business commencement.
Validity and Renewal
An OPC's incorporation does not ordinarily require periodic renewal. The company continues to exist unless converted, struck off, wound up or otherwise dissolved under applicable law.
However, statutory annual filings, financial reporting and other continuing obligations must be fulfilled.
Exceptions and Special Cases
Certain situations require additional consideration: -
- Non-resident Indian citizens: Eligible Indian citizens residing outside India may incorporate an OPC under the amended rules.
- Restricted activities: An OPC cannot carry out Non-Banking Financial Investment activities, including investment in securities of body corporates, as restricted by the rules.
- Section 8 companies: An OPC cannot be incorporated or converted into a Section 8 company.
- Conversion: An OPC may convert into another eligible company structure through the prescribed procedure. The earlier mandatory conversion thresholds based on the capital and turnover were removed in 2021.
- Nominee changes: Changes must follow the applicable consent and ROC filing requirements.
Post-Registration Compliance
After incorporation, an OPC must assess and fulfil applicable statutory requirements, including: -
- Opening and maintaining a company bank account.
- Filing Form INC-20A within 180 days, where Section 10A applies.
- Appointment of the first statutory auditor within the prescribed period.
- Maintaining the books of account and various statutory records.
- Filing annual financial statements and annual returns, including Form MGT-7A.
- Filing income-tax returns and obtaining GST registration where required.
An OPC has certain exemptions from general meeting requirements, but it is not exempt from all company compliance obligations.
Common Mistakes to Avoid
- Selecting a company name without checking MCA naming restrictions.
- Providing incomplete or inaccurate nominee consent or documentation.
- Submitting inconsistent identity or registered office details.
- Assuming that OPC registration eliminates the annual compliance.
- Overlooking the post-incorporation filing deadlines.
- Choosing an OPC without considering the future ownership or investment plans.
- Treating limited liability as complete protection against personal obligations.
