Transfer your trademark with a clear agreement and the appropriate Registry filings
Selling a brand, transferring a founder-owned trademark to a company or restructuring business ownership? Remind Legal assists with trademark assignment assessment, deed preparation and applications to record the new proprietor.
A carefully documented transfer helps both parties understand which rights are moving, what is included and who will manage the trademark afterwards.
Buying a Brand Does Not Automatically Resolve Trademark Ownership
A business sale agreement may mention a brand without clearly identifying its trademark registrations, pending applications or associated goodwill. Differences between the agreement and Registry records can complicate due diligence, licensing and future transactions.
Before completing a transfer, check the ownership history, registration status, contractual restrictions and precise scope of the rights being acquired.

What Is Trademark Assignment?
Trademark assignment is a written transfer of trademark ownership from one person or entity to another. Unlike a licence, which permits use while ownership remains with the proprietor, an assignment transfers the agreed ownership rights.
For example, a founder may assign a personally owned brand to the company operating the business. The deed should identify the mark and explain whether goodwill and related assets are included.
Who Needs Trademark Assignment Services?
Assignment assistance is relevant to: -
- Founders transferring brands to their companies or LLPs.
- Businesses purchasing an established brand.
- Owners selling a product line or business division.
- Groups reorganising intellectual property ownership.
- Parties documenting an earlier transfer that remains unrecorded.
Which Trademarks Can Be Assigned?
Registered and unregistered trademarks can be assigned, subject to statutory restrictions. A registered mark may be transferred for all or some registered goods or services, with or without goodwill.
The proposed assignor must have the relevant rights and authority. Review and verify the joint ownership, earlier transfers, security interests and contractual restrictions before execution.
For a pending application, assess the application status and the appropriate request to update the applicant. Assignment does not resolve existing registration objections or opposition.
What Are the Legal Requirements?
A written transfer with an identifiable scope
The deed should specify: -
- Correct legal names and addresses.
- Trademark representation and relevant numbers.
- Goods or services covered.
- Effective date and the commercial terms.
- Whether goodwill is transferred.
- Responsibilities for the filing and further cooperation.
Proper execution and stamping
Check and verify the signing authority and applicable stamp duty before execution. Rule 78 provides for impounding instruments that are insufficiently stamped; notarisation does not replace proper stamping.
Application to record the new proprietor
Section 45 requires the person acquiring a registered trademark to apply to register their title. Until that application is filed, the transfer is ineffective against someone acquiring a conflicting interest without knowledge of it.
What Documents Are Required?
The checklist basically depends on the transaction.

Rule 76 requires the certified instrument and statement of case. Other supporting records should match the circumstances.
Keep original signed documents safely, even where copies are submitted.
How Does the Trademark Assignment Process Work?
- Review the trademark portfolio - Identify the relevant marks, owners, status, renewal dates and related agreements.
- Confirm the transaction scope - Decide which rights, goods or services and goodwill are included.
- Prepare and negotiate the deed - Address the payment, disclosures, cooperation, retained rights and responsibility for the existing disputes.
- Complete execution and stamping - Reconcile the signed deed with its trademark schedule.
- File the appropriate request - Registered-title recordal is sought through the Form TM-P under Rule 75.
- Respond to Registry requirements - Additional title evidence may be requested where reasonable or suitable doubt exists.
- Check the resulting entry - Confirm and verify that the proprietor and transferred scope have been recorded accurately.
Agree who will handle follow-up correspondence before the transaction closes.
What Are the Trademark Assignment Fees?
|
Cost component |
Applicable position |
|
TM-P: subsequent-proprietor recordal |
₹9,000 e-filing or ₹10,000 physical filing, for each trademark |
|
Stamp duty |

|
Additional applications |
Separate prescribed fees may apply |
|
Professional charges |
Depend on portfolio size, drafting and transaction complexity |
|
Advertisement expenses |
Relevant where advertisement is required |
The assignment recordal fee does not carry the individual/startup/small-enterprise concession applicable to certain new-registration applications. Check the total against the actual portfolio before filing.
Request a document and fee assessment for your proposed trademark transfer.
How Long Does Trademark Assignment Take?
Deed preparation depends on document availability, negotiations and signing arrangements.
For registered-title recordal, Rule 76(2) provides that the Registrar should ordinarily dispose of the application within three months. This is a procedural benchmark, not a guaranteed completion date. Queries, disputed title and incomplete or inaccurate documents can affect the processing.
Plan the commercial closing date and Registry follow-up separately.
Does Assignment Change Trademark Validity or Renewal?
Assignment does not create a fresh ten-year registration period. The existing renewal schedule continues and registration is renewable for successive ten-year periods under Section 25.
Before completion, confirm the next renewal date and allocate responsibility for any renewal falling during the transfer process.
Exceptions and Special Cases
Assignment without goodwill
Under Section 42, an assignment without the relevant business goodwill requires an application for advertisement directions within six months of assignment. The Registrar may allow an extension totalling no more than three months. Advertisement must follow the directions given.
Partial or territorial transfers
Splitting the ownership can trigger the Section 40–41 restrictions on the confusing exclusive rights. Review and verify the proposed division before signing.
Associated and certification trademarks
Associated marks must transfer together. Certification trademarks require the Registrar’s consent.
Cross-border transactions
Assess the foreign-exchange, tax and documentation requirements separately. Rule 79 addresses transfers involving outward remittances where permission is required under the applicable law.
Succession and restructuring
Inheritance, amalgamation or various other operation-of-law transfers may involve the transmission rather than contractual assignment. Supporting instruments should reflect the actual event.
What Should You Do After Recordal?
- Verify and examine the proprietor’s name, address and transferred scope.
- Maintain the renewal reminders and evidence of use.
- Review existing licences and authorised-user arrangements.
- Update the various relevant commercial records and platform accounts.
- Preserve the deed, filing receipts and Registry communications.
Separately document domain names, artwork copyright and social-media accounts where the transaction includes them. A trademark schedule should not leave those assets ambiguous.
Common Mistakes to Avoid
- Using the incorrect or inaccurate legal names or trademark numbers.
- Leaving the goodwill treatment unclear.
- Omitting the relevant marks from the deed schedule.
- Assuming that one portfolio fee covers every trademark.
- Overlooking stamp duty or signing authority.
- Delaying recordal after the execution.
- Ignoring licences, disputes or renewal dates.
- Treating Registry recordal as a substitute for ownership due diligence.
A clear schedule and consistent supporting documents help reduce avoidable queries.
