Annual Compliance of Private Limited Company: Complete Checklist, Due Dates & Penalties
Annual compliance of a private limited company involves maintaining company records, conducting meetings, preparing audited financial statements and completing applicable ROC and income-tax filings. These obligations generally continue even when the company has no turnover or makes a loss.
For business owners, the challenge is identifying which requirements apply and calculating deadlines correctly. This checklist explains the essential obligations, standard 2026 dates and consequences of non-compliance.
Quick Summary
- Annual compliance includes accounting, statutory audit, meetings, records and filings.
- AOC-4 covers financial statements; MGT-7 / MGT-7A covers the annual return.
- ADT-1, DPT-3 and MSME-1 depend on the relevant appointment or applicability conditions.
- DIR-3 KYC moved to a three-year compliance cycle from 31 March 2026.
- Additional filing fees and statutory penalties are separate liabilities.

Annual Compliance Checklist
- Prepare Accounts and Complete Statutory Audit: Maintain the accurate and proper books, reconcile bank balances and prepare the financial statements with the required disclosures. A private limited company generally requires a statutory audit irrespective of turnover or profitability.
Arrange the Board’s approval, signatures, auditor’s report and Board’s report before proceeding with shareholder approval and filing. A tax audit is a separate applicability check.
- Conduct Board Meetings and Maintain Records: The standard requirement is at least four board meetings annually, with no more than 120 days between consecutive meetings. All eligible small companies receive a relaxation: one meeting in each half of the calendar year, with at least 90 days between them.
Maintain the meeting notices, minutes, statutory registers and directors’ disclosures throughout the year.
- Hold the AGM: An Annual General Meeting or AGM, is compulsory for companies other than OPCs. Normally, it must take place within six months after financial-year closure, with no more than 15 months between AGMs.
The first AGM has a separate nine-month deadline after the first financial year closes. The Registrar may extend a subsequent AGM deadline by up to three months for special reasons.
- Select the Correct Annual Return: Use MGT-7A for an eligible small company or OPC and MGT-7 for various other companies. Private limited status alone does not establish small-company eligibility. Check the applicable definition and exclusions before choosing the form.
Compliance Due Dates for 2026
The following standard calendar assumes a 31 March 2026 financial-year end and, where relevant, an AGM held on 30 September 2026. Actual AGM dates, first-year rules and applicable government relaxations can change the deadline.
|
Compliance |
Applicability |
Standard deadline |
|
AGM |
Companies other than OPCs |
Normally 30 September 2026 |
|
AOC-4 |
Financial statements filing |
Within 30 days of AGM: 30 October 2026 |
|
MGT-7 / MGT-7A |
Annual return |
Within 60 days of AGM: 29 November 2026 |
|
ADT-1 |
Applicable auditor appointment/reappointment |
Within 15 days of the appointing meeting |
|
DPT-3 |
Reportable deposits or outstanding receipts not treated as deposits, subject to exemptions |
30 June 2026 |
|
MSME-1 |
Specified companies with qualifying overdue micro/small supplier payments |
30 April and 31 October 2026 |
|
ITR-6 |
Companies other than those claiming section 11 exemption |
Normally 31 October; qualifying transfer-pricing cases: 30 November |
These deadlines arise under the separate company-law rules and various income-tax provisions.
2026 tax extension: The CBDT extended the 31 October return deadline to 21 November 2026 for the category specified in the Circular No. 07/2026. Confirm and verify that the company falls within its scope; this does not extend the ROC deadlines.
Director KYC update: Do not automatically schedule the DIR-3 KYC for September annually. Under the revised framework, compliant directors covered by the transition usually have their next KYC due by 30 June 2028. Check and verify the individual filing history and update requirements separately.
ADT-1 is basically not automatically an annual filing merely because an AGM occurs. Similarly, the DPT-3 and MSME-1 require an applicability assessment.
Late Filing Fees and Penalties
Delayed AOC-4 and annual-return filings generally attract ₹100 per day per form, in addition to normal filing fees. Paying these late filing fees does not automatically resolve separate statutory defaults.
|
Default |
Statutory consequence |
|
Annual-return default under section 92(5) |
₹10,000 plus ₹100 daily for continuing default; maximum ₹2 lakh for the company and ₹50,000 per officer in default |
|
Financial-statements default under section 137(3) |
₹10,000 plus continuing daily penalties; maximum ₹2 lakh for the company and ₹50,000 for responsible individuals |
The Eligible companies and individuals may receive the reduced penalties under section 446B. AGM defaults attract separate consequences.
For example, filing both annual forms 20 days late generally creates ₹4,000 in additional fees alone. Unresolved KYC defaults can also involve DIN deactivation; verify the applicable reactivation procedure.
